DRONE FOOTAGE LICENSE AGREEMENT<\/strong><\/p>\n

This Drone Footage License Agreement (“Agreement”) governs the purchase and use of drone footage (“Footage”) made available through Aerialshots.nl \/ vdwaart.nl (“Licensor”).<\/p>\n

By purchasing, downloading, accessing or using any Footage, the customer (“Licensee”) confirms that they have read, understood and agreed to the terms of this Agreement.<\/p>\n

1. LICENSE, NOT SALE<\/strong><\/p>\n

The purchase of Footage does not transfer ownership or copyright of the Footage to the Licensee.<\/p>\n

All intellectual property rights, copyright and other rights in and to the Footage remain the exclusive property of the Licensor or its respective rights holders.<\/p>\n

The Licensee purchases a limited, non-exclusive, non-transferable license to use the Footage under the terms of this Agreement.<\/p>\n

The purchase price is therefore a license fee and does not constitute a transfer of copyright or ownership.<\/p>\n

2. PERMITTED USE<\/strong><\/p>\n

Unless otherwise agreed in writing, the purchased Footage may be used:<\/p>\n

in one specific film, television series, documentary or other audiovisual production;
\nfor one specific season of that production only;
\nas part of the finished audiovisual production, including trailers, teasers, promotional materials and marketing directly related to that same season;
\nworldwide, unless otherwise stated at the time of purchase.<\/p>\n

The Footage may be edited, cropped, colour graded, resized, stabilised or otherwise technically modified as reasonably necessary for inclusion in the production.<\/p>\n

3. ONE-SEASON LICENSE<\/strong><\/p>\n

For television series and other productions released in seasons, the license applies to one season only.<\/p>\n

For example, if Footage is licensed for:<\/p>\n

“Example TV Series \u2013 Season 1”<\/p>\n

the Footage may be used in Season 1 of that production.<\/p>\n

The same Footage may not be used in:<\/p>\n

Season 2;
\nSeason 3;
\nany subsequent season;
\na spin-off series;
\na remake or reboot;
\nanother production;<\/p>\n

without obtaining a new license from the Licensor.<\/p>\n

A new license fee may apply for each subsequent season or separate production.<\/p>\n

4. SPECIFIC PRODUCTION<\/strong><\/p>\n

The license is granted for the production identified by the Licensee at the time of purchase, where such information is requested by the Licensor.<\/p>\n

The Footage may not subsequently be reused in another film, television series, documentary, commercial, online production or other audiovisual project without a separate license.<\/p>\n

If the Footage is purchased without identifying a specific production, the Licensor may request details of the intended production before or after purchase.<\/p>\n

5. NO RESALE OR REDISTRIBUTION<\/strong><\/p>\n

The Licensee may not sell, sublicense, rent, lease, distribute, transfer, share or otherwise make the original Footage available to any third party.<\/p>\n

The Footage may not be:<\/p>\n

resold as stock footage;
\nuploaded to a stock footage website or library;
\nincluded in another footage library;
\ndistributed as part of a media or asset package;
\nshared with other production companies for their own use;
\nmade available for download by third parties;
\nsublicensed to another person or company.<\/p>\n

The Licensee may provide the Footage to its production team, editor, post-production company, broadcaster or other contractors solely to the extent necessary to create and complete the licensed production.<\/p>\n

Such third parties may not use the Footage for any other purpose.<\/p>\n

6. NO REUSE IN OTHER PRODUCTIONS<\/strong><\/p>\n

The fact that the Licensee has purchased and downloaded the Footage does not grant the Licensee the right to use the Footage in any other production.<\/p>\n

For example, Footage licensed for a television series may not subsequently be used in:<\/p>\n

another television series;
\nanother season of the same series;
\na feature film;
\na documentary;
\nan advertisement;
\na promotional video;
\na music video;
\na corporate production;
\nsocial media content unrelated to the licensed production;
\nany other audiovisual project.<\/p>\n

A separate license must be obtained for such use.<\/p>\n

7. BROADCAST AND DISTRIBUTION<\/strong><\/p>\n

Once incorporated into the licensed production, the finished production may be broadcast, streamed, distributed and otherwise commercially exploited by the production company, broadcaster, streaming service or distributor, subject to the terms of the production’s own distribution agreements.<\/p>\n

This does not grant the Licensee the right to distribute the original Footage as a standalone asset.<\/p>\n

8. COPYRIGHT AND CREDIT<\/strong><\/p>\n

Copyright and all other intellectual property rights in the Footage remain with the Licensor.<\/p>\n

No copyright notice, watermark or other identification embedded in the Footage may be intentionally removed where doing so would be intended to conceal the ownership or origin of the Footage.<\/p>\n

Unless otherwise agreed, no on-screen credit is required.<\/p>\n

9. LICENSE PERIOD<\/strong><\/p>\n

The license remains valid for the licensed production and the specific season for which the Footage was purchased.<\/p>\n

The license does not automatically extend to future seasons or productions.<\/p>\n

Any continued or additional use outside the scope of this Agreement requires a new license.<\/p>\n

10. BREACH OF LICENSE<\/strong><\/p>\n

Any use of the Footage outside the rights granted by this Agreement constitutes a breach of the license.<\/p>\n

In the event of unauthorised use, the Licensor reserves the right to:<\/p>\n

terminate the license;
\nrequire the Licensee to cease the unauthorised use immediately;
\nrequire removal of the Footage from unauthorised productions or distribution channels where legally possible;
\ncharge the applicable license fee for the unauthorised use;
\nseek compensation for any additional losses or damages resulting from the unauthorised use.<\/p>\n

Termination of the license does not affect any rights or remedies the Licensor may have under applicable law.<\/p>\n

11. LICENSEE RESPONSIBILITY<\/strong><\/p>\n

The Licensee is responsible for ensuring that its employees, contractors, editors, production companies and other parties receiving the Footage understand and comply with this Agreement.<\/p>\n

The Licensee must not knowingly permit any third party to use the Footage outside the scope of the license.<\/p>\n

12. NO TRANSFER OF OWNERSHIP<\/strong><\/p>\n

Purchasing or downloading the Footage does not give the Licensee ownership of the original video file, copyright, intellectual property rights or any exclusive rights in the Footage.<\/p>\n

The Licensor remains free to license the same Footage to other customers, unless an expressly agreed exclusive license has been purchased separately.<\/p>\n

13. ACCEPTANCE OF TERMS<\/strong><\/p>\n

By completing the purchase, the Licensee confirms that:<\/p>\n

they have read and understood this Drone Footage License Agreement;
\nthey agree to comply with all terms and restrictions contained herein;
\nthey understand that the purchase provides a license to use the Footage and does not transfer ownership or copyright;
\nthey understand that a television series license applies to one season only;
\nthey understand that use of the same Footage in a subsequent season requires a new license;
\nthey understand that the Footage may not be resold, sublicensed or redistributed as standalone footage.
\n14. GOVERNING LAW<\/strong><\/p>\n

This Agreement shall be governed by and construed in accordance with the laws of [COUNTRY], unless mandatory applicable law provides otherwise.<\/p>\n

Any disputes arising from or relating to this Agreement shall be subject to the jurisdiction of the competent courts of Haarlem in the Netherlands, unless mandatory applicable law provides otherwise.<\/p>\n

This is a limited-use license. You are not purchasing the copyright or ownership of the footage.<\/p>\n

For TV series: the license covers ONE SEASON ONLY. Use of the same footage in any subsequent season requires a new license.<\/p>\n
